I. Introduction
These Dubai Card Exchange Service General Terms and Conditions (“General Terms”) govern the relationship between you (“Client” or “you”) and any company within the Dubai Card group (“Dubai Card” or “we”). This legally binding agreement (“Agreement”) applies to your use of the Dubai Card Exchange Service. Hereafter, you and Dubai Card are individually referred to as a “Party” and collectively as the “Parties.”
II. Definitions
Base Asset: The first Digital Asset in a Trading Pair, selected for an Exchange Transaction.
Counter Asset: The second Digital Asset in a Trading Pair, acquired in an Exchange Transaction.
Exchange: Any exchange platform used by Dubai Card for executing Exchange Transactions.
Exchange Price: The price at which an Exchange Transaction is executed, including applicable fees.
Exchange Transaction: A transaction involving the sale of a Base Asset for a Counter Asset, initiated by your Order.
Trading Pair: A combination of a Base Asset and a Counter Asset for an Exchange Transaction.
Order: Your instruction to Dubai Card to execute an Exchange Transaction.
Unless otherwise stated, these terms incorporate the definitions in the Dubai Card Wallet Services and Loan Terms and Conditions.
III. Client Eligibility
You may use the Dubai Card Exchange Service only if:
You have an active Dubai Card Account and meet the conditions outlined in the Dubai Card Wallet Services General Terms.
You have completed identity verification on the Dubai Card Platform.
If you fail to meet these conditions, Dubai Card may suspend or terminate your access to the Exchange Service and close your account. Dubai Card reserves the right to:
Refuse your request to use the Exchange Service.
Modify conditions for service usage.
Suspend or terminate the Exchange Service, features, or incentives.
IV. Features of the Dubai Card Exchange Service
The Dubai Card Exchange Service allows you to:
Initiate Exchange Transactions using Base Assets from your Savings or Credit Wallet.
Receive Counter Assets in the same wallet after execution.
Trade only within the Trading Pairs and limits specified on the Dubai Card Platform, subject to periodic revisions.
V. Exchange Transactions
Initiation: Select the Base Asset to sell, the Counter Asset to buy, and place an Order.
Irreversibility: Once placed, Orders are final and cannot be withdrawn, canceled, or altered. You bear full responsibility for all Orders.
Execution: Dubai Card will process your Order, displaying the Exchange Price beforehand. Transactions are executed at the best available price across supported Exchanges, though price availability is not guaranteed.
Processing Time: While most Orders are processed immediately, technical delays may require up to 72 hours.
Order Completion: Once executed, Counter Assets are credited to your account.
Rejection: Orders may be rejected due to network issues, price discrepancies, or insufficient Counter Assets on Exchanges.
Reversals: Dubai Card may reverse or adjust transactions if pricing errors occur due to system or technical issues.
VI. Obligations and Warranties
You declare, warrant, and confirm:
Compliance with eligibility requirements under Section III.
Validity of your actions and transactions under this Agreement.
The lawful origin of Base Assets or funds used for transactions.
Submission of complete, accurate, and up-to-date information.
Responsibility for tax compliance in your jurisdiction. Dubai Card is not liable for tax-related matters or consequences of holding Digital Assets.
Awareness that use of Dubai Card services is at your own risk.
You agree to:
Use Dubai Card services in good faith and comply with applicable laws and terms.
Refrain from fraud, malicious acts, or unauthorized activities.
Notify Dubai Card of changes to submitted information within one day.
VII. Risk Disclosure
Digital Assets are volatile and may result in significant losses. Dubai Card does not guarantee their value, suitability, or accuracy.
Digital Assets are not legal tender, are unregulated, and may lack intrinsic value.
Regulatory changes may restrict Digital Asset usage or impact the Exchange Service.
Transactions are final and recorded on decentralized ledgers, making them irreversible.
Fraud or cyberattacks may result in unrecoverable losses.
You are solely responsible for determining the legality of the Exchange Service in your jurisdiction and must seek independent advice if uncertain.
VIII. Limitation of Liability
Dubai Card provides the Exchange Service “as is” without any warranties except as explicitly stated.
Dubai Card is not liable for:
Events beyond its control (e.g., force majeure, system outages).
Losses from rejected or reversed transactions, unauthorized access, or third-party failures.
Indirect, consequential, or punitive damages (e.g., lost profits, data loss).
Aggregate liability is limited to fees paid by you in the preceding 12 months.
IX. Default and Indemnification
Events of Default: Breaches of this Agreement, illegal actions, or inability to contact you may lead to immediate termination.
Indemnity: You agree to indemnify Dubai Card against claims or losses arising from your use of the Exchange Service in violation of these terms.
X. Termination
Dubai Card may terminate this Agreement or suspend services without notice for non-compliance, suspected fraud, or other violations.
You may recover remaining balances unless prohibited by law or linked to unlawful activities.
Termination does not exempt either Party from liabilities incurred prior to termination.
XI. Notices
Notices from Dubai Card are valid when sent to your registered email, mailing address, or phone number, or posted on the Dubai Card Platform.
Notices from you must be sent via email in English to support@Dubaicard.io.
XII. Governing Law and Jurisdiction
This Agreement is governed by Dubai Card jurisdiction laws. Disputes are resolved individually and not as part of any class or representative action.
XIII. Miscellaneous
Intellectual Property remains Dubai Card’s exclusive property and requires prior consent for use.
This Agreement, alongside related policies, constitutes the entire agreement between you and Dubai Card.
Dubai Card reserves the right to amend terms with changes effective upon publication on the Dubai Card Platform. Continued use indicates acceptance.
Invalid provisions do not affect the validity of remaining terms.
This Agreement is prepared in English, and the English version prevails in case of translations.
